Does Windows 64 bit OS have any dependancy on motherboard?

no, just the processor (which only works/fits in boards designed for it)

Thank you very much.

As a follow up:

I am having hard time to decide which one to buy 32 bit or 64 bit Vista Ultimate. This is for a new system that I am going to build.

The lowest price that I have found for Vista Ultimate OEM is $184.27 and 199.97 for 32 bit and 64 bit, repectively. Only $15 difference. I am expecting some problems with drivers especially with Vista OS in both cases. The 64 bit frees the 4GB RAM limitation and other benifits.

I wonder anybody here using 64 bit OS either XP or Vista running into any problems other than finding drivers at the moment.

There are a few issues w/ x64 you should be aware of. Driver support is sometimes not there for obscure hardware. When moving to Vista, make sure your printer manufacturer has drivers for your printer FIRST or be prepared to buy a new one. HP, for example, is no longer supporting many of their printers in Vista. Also, you will not be able to use enthusiast monitoring tools (like coretemp) with Vista x64, for now, at least. There are many other tools that work (like SpeedFan). Other than that, I saw had no issues when I used Vista x64, other than the nVidia driver issues.
